Assistant Group Company Secretary In Rosebank
The Assistant Group Company Secretary supports the Company Secretary in ensuring the Group’s compliance with statutory and regulatory requirements.
The ideal candidate will have extensive knowledge of business administration and excel in company secretarial duties, contributing to the effective governance and administration of the Group.
Minimum Requirements
- Legal Secreterial qualification.
- Advantageous: BCom Legal degree or Qualification from the Chartered Governance Institute of Southern Africa (CIS) or similar.
- 5 years in a legal or company secretarial listed environment is non-negotiable.
- 5 – 8 years Senior/Executive PA experience
Duties and Responsibilities
Board of Directors:
- Assist Group Co Sec to ensure proper on boarding of new Directors – update current on boarding packs with latest policies and DoA.
- To assist Directors where necessary with Diligent Boards and diary arrangements etc.
- Preparing 1st draft of Non-Executive Directors fee schedule on a quarterly basis.
- Tracking of meeting attendance.
Corporate Governance:
- Prepare annual group calendar and meeting invitations in line with the approved work plans.
- To liaise with Sponsors and transfer secretaries.
- Assisting the Company Secretary with the preparation of various reports for the Annual Report.
Meeting Management:
- Assist Group Co Sec with meeting preparation for PPC Limited (including agendas, notices, minutes, action items):
- Board.
- Committees.
- Annual General Meetings.
- Trust meetings were applicable.
- Preparation and distribution of the board and committee packs to the Group board within seven business days prior to the meeting.
- Send out reminders with deadlines for action item lists.
Statutory Administration:
- To ensure regulatory compliance and to update and prepare all statutory returns as required by legislation and lodge documents with relevant statutory bodies.
- Draft board resolutions, (including Annual General meeting minutes) of subsidiary companies.
- Distribution and monitoring of resolutions of the Group board and its committees.
- Maintain the relevant registers in house as well as all duties relating to CIPC updates / filings (i.e share transfers, share registers, director and officers.
- Assisting in-country company secretaries with director due diligent documents and changes as and when required.
- Attending to administrative queries from SA and International subsidiary companies.
- Prepare extracts of resolution and minutes for all Board; AGM and Committees proceedings.
General office administration:
- Various other ad hoc secretarial and administrative duties which would include:
- general office administration for group legal and secretarial services;
- accepting and distributing correspondence (electronic and hard copies);
- maintaining departmental filing system;
- diary management; and
- call screening.
- To assist with travel arrangement when required as well as visa applications.
- Basic executive level meeting management competencies through prior experience.
- Contributing to the establishment of internal Company Secretariat procedures, guidelines and templates and the continued development of self-help tools.
- Undertake any ad hoc duties as guided by the Company Secretary.

Lead Group Legal And Compliance In Rosebank
- The Lead Group Legal & Compliance in the Group will be responsible for managing the legal & compliance functions for PPC.
- Responsible for ensuring that legal (statutory) and compliance risks (company policies) are comprehensively managed through appropriate systems, teams/functions, and processes;
- Management of a regulatory universe for the Group and track PPC’s compliance to this.
- Management of a repository of all policies and ensure that these are timeously updated in line with Group Policy register and Delegation of Authority by the relevant policy owner.
- Conduct compliance monitoring and ensuring that the compliance framework within PPC is comprehensive and robust and implemented.
- Identify areas of the business where there is a risk of non-compliance and develop/maintain policies to reduce that risk.
- Plan communication and training programs to help employees understand their roles in compliance.
- Ensure that Internal Audit carry out periodic audits.
- Provide professional and credible legal advice and effective legal support on topics as required (verbal and written opinions).
- Ensure proper registration of PPC’s deeds, property rights and business licenses across the Group.
- Advise and provide direction on tender processes where required.
- Provide support in terms of drafting, contract risk management and management of contracts.
- Introduce templates for contracts where feasible.
- Responsible for continuous improvement within these functions.
- Attend all board meetings of the Group and provide advice to the Board and subcommittees as to the commercial and legal implications of the Group’s affairs.
- Drafting and circulation of PPC resolutions.
- Manage the “Whistle-blower hotline” of PPC Group and in addition ensure reporting to EXCO and the Board on similar facilities in the Countries.
Minimum Requirements
• Degree in Commercial Law, B.Com Law or equivalent
• 10 years legal and compliance management experience within mining/manufacturing environment
• Knowledge of legal and compliance in a listed company is a requirement
• Compliance auditing experience would be beneficial
• Demonstrable evidence of having worked in a role requiring extensive and continuous interaction with various internal and external stakeholders in delivery of objectives
• Strong strategic management experience across various portfolio’s (legal and compliance within a mining/manufacturing environment)
